In accordance with the Articles of Association and the Code of Corporate Governance, the Company adopts a candidate nomination system. The composition of the Board of Directors emphasizes diversity, taking into account the Company’s operating model and development needs, as well as professional knowledge, skills and values.
The board structure is set according to the company size and the shareholding of major shareholders, and a database of board candidates is continuously built to select talents with integrity, responsibility, innovative decision-making ability and industry experience, so as to ensure that the board of directors has expertise in strategy, finance, legal affairs and management.
In addition, there is a "Board of Directors Performance Evaluation Method" which evaluates the board's operational effectiveness through aspects such as the grasp of company goals, performance of duties, internal supervision, professional development, and specific suggestions, and serves as a reference for future selection and reappointment.
The company considers assistant managers and above as important management personnel. In addition to having professional skills and experience, they must also conform to the company's core values and business philosophy.
To cultivate successors, the company plans professional training and corporate governance courses, and arranges for employees to attend board meetings, participate in management meetings, and participate in project practice training to enhance management capabilities.
